1. Agreement

These Terms and Conditions, together with our Privacy Policy, apply to your use of products offered by SENATH, provided by SENATH LTD (NZBN 9429037783891) ("we", "us" or "our").

1.1 Please read these Terms and Conditions carefully before using products offered by SENATH. Your access and use of products offered by SENATH is subject to these Terms and Conditions. By using products offered by SENATH, you agree and acknowledge that you have read these Terms and Conditions.

1.2 We reserve the right to amend, vary or impose new conditions with respect to these Terms and Conditions at any time. Any such changes, updates or additions to these Terms and Conditions will be found at our website. Please check this periodically for changes.

2. Definitions and Interpretation

2.1 In these Terms and Conditions, the following expressions have the following meanings, unless otherwise stated:

• Agreement — these terms and conditions as amended by us from time to time
• Authorised User — those of your employees, agents and contractors who are authorised by you to use products offered by SENATH
• Business Day — a day other than a weekend or public or bank holiday in New Zealand
• Commencement Date — the date that you register to use products offered by SENATH
• Customer Data — data you provide to SENATH
• Intellectual Property Rights — all present and future intellectual and industrial property rights throughout the world
• Invitee — a person that you invite to use products offered by SENATH
• Privacy Laws — the Privacy Act 2020 (Cth) and the General Data Protection Regulation (EU 2016/679)
• Site — products offered by SENATH or any other site operated by us

3. Accessing Products and Authorised Users

3.1 Products offered by SENATH is accessible to persons who sign up via the Site by providing your name, address, telephone number, a valid email address and nominating a password ("Account").

3.2 You are responsible for ensuring that you have a compatible device and a stable internet connection in order to access products offered by SENATH.

3.3 You determine who may be invited to use products offered by SENATH ("Invitee") and the relevant level of access that the Invitee will have.

3.4 You are solely responsible for all activity on your account and for each Authorised User's use of products offered by SENATH and compliance with these Terms and Conditions.

4. Use of the Software

4.1 You will not:

• Modify products or merge any aspect with another programme
• Reverse engineer, copy, duplicate, reproduce, or create derivative works
• License, sell, rent, lease, transfer, assign or otherwise commercially exploit products
• Engage in unlawful behaviour or unauthorised access to systems or networks
• Disrupt, overburden or aid in the disruption of any hardware, software or services
• Access, store, distribute or transmit viruses, malware, or unlawful material
• Provide account login details to unauthorised third parties
• Impersonate any person or entity
• Share features not publicly available with unauthorised third parties

4.2 You agree to provide true, accurate, current and complete information at the time of signing up and at all other times as required by us.

4.3 Your access and use of products is for its intended purposes and is not unlawful or prohibited by any laws which apply to you.

4.4 All rights granted to you must not be leased, assigned, sold, licensed, resold or transferred to any third party.

4.5 Any breach of this clause constitutes a breach of these Terms and Conditions and we may terminate or suspend your access to, and/or use of, products.

5. Your Obligations

5.1 You will:

• Cooperate with and assist us in the supply of products
• Promptly provide us with full and accurate information, data and explanations
• Comply with all applicable laws, regulations and industry standards
• Ensure that your network and systems comply with our specifications
• Comply with all reasonable directions and guidelines from us

5.2 You must procure all necessary rights from third parties which are required for us to provide products to you.

5.3 It is your responsibility to ensure that written communications from us contain correct information and that you notify us of any changes.

6. Fees, Payment and Cancellation

6.1 You will pay us the Fees to access and use products on a subscription basis in accordance with the fees set out on our website.

6.2 The Fees are exclusive of GST and, unless stated otherwise, are in United States Dollars.

6.3 Fees will not be changed retrospectively, however all Fees displayed on or via the Site are subject to change without notice.

7. Intellectual Property Rights

We retain all Intellectual Property Rights in the products and any modifications or enhancements we make. You retain ownership of your Customer Data. Any modifications made by us to the products specifically for you will be owned by us.

8. Warranties and Disclaimers

Products are provided "as is" without warranties of any kind, either express or implied. We make no representation that products will be uninterrupted, error-free, or fit for any particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of or inability to use products.

10. Indemnification

You agree to indemnify and hold us, our officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of products or breach of these Terms and Conditions.

11. Termination

We may terminate or suspend your access to products immediately and without notice if you breach these Terms and Conditions. Upon termination, all rights granted to you will cease, and you must cease using products.
